使用说明：本文件供在至少一方为中国当事人的销售交易中使用。
These terms and conditions (“Conditions”), subject to any variations we agree to in writing, apply to the purchase of goods and services by the company identified in our purchase order ( “the Company”, “we” or “us”) from the supplier identified in our purchase order (“you”). Any terms and conditions notified to us by you will apply only to the extent that we expressly accept them in writing.
受限于我方书面同意的任何变更，本版条款与条件（“本条件”）适用于我方采购订单中所表明的公司（“我司”或“我方”）向订单中表明的供应商（“贵方”）进行的商品和服务的采购。贵方向我司提出的任何条款与条件仅在我司明确书面接受的范围内适用。
Your supply of the goods and/or services described in our purchase order (“Goods” and “Services”) constitutes acknowledgment and acceptance of these Conditions. You will be deemed to have accepted our purchase order, giving rise to a contract for the supply of the Goods and/or Services subject to these Conditions unless you reject the purchase order within two business days of its delivery.
贵方向我司提供我司采购订单中所载商品及/或服务（“商品”和“服务”），即表明贵方确认和接受本条件。贵方在收到我司订单后如未在两个工作日内表示拒绝接受订单，则视为接受了该订单，并因此订立了受本条件约束的提供商品或服务的合同。
You acknowledge and agree that our liability to pay under these Conditions falls solely on the Company that issued our purchase order, but that the obligations you accept and warranties you make under these Conditions are accepted and made for the benefit of all of the affiliates of the Company and that the Company issuing our purchase order contracts as agent on behalf of each other affiliate of the Company to the extent your obligations and warranties are concerned.
贵方确认并同意，我方在本条件下付款的责任仅由发出订单的我司承担，但贵方在本条件下承担的义务和保证乃系为我司的所有关联公司（包括我司）之利益所设，发出订单的我司在涉及贵方义务和保证时乃代表每一个我司之关联公司订立合同。
1. WARRANTIES AND LIABILITY 保证与责任
1.1 You warrant and agree in relation to the Goods that:
关于贵方供应的商品，贵方保证并同意：
a) you have title, free of all liens, charges, encumbrances, mortgages and other security interests whatsoever, and title will transfer to us in accordance with these Conditions;
贵方拥有不附带任何优先权、质押权、抵押权和其他担保权益的完整所有权，且该所有权将按本条件之规定转移给我方。
b) they are fit for the purpose for which they are ordinarily used or rather, if we have disclosed it, our purpose, and are of merchantable quality;
商品适合用于其通常用途，或者，如我方披露过，则符合我方披露的用途，且具有适销性。
c) they conform with any technical specifications and performance specifications specified by us, or, in the absence thereof, with those published by you in relation to them, or implied by our proposed use of them;
商品符合我方指明的任何技术规格和性能指标；如无我方指明的规格和指标，则符合贵方公布的规格和指标，或者符合与我方指定用途相应的规格和指标。
d) they conform entirely with their description in our purchase order;
商品完全符合我方订单中的商品描述。
e) if you have provided a sample of the Goods, then this is a contract for sale by sample as well as by description;
如果贵方曾提供商品样品，则商品须同时符合样品和订单中的描述。
f) they comply with all applicable laws; and
商品符合所有适用的法律。并且
g) they will be appropriately packed for transport to us, so that they will not be damaged in transit.
商品须以适合运输的方式包装，以防止在运输途中损坏。
1.2 You warrant and agree in relation to the Services that:
关于所提供的服务，贵方保证并同意：
a) they will be provided with due skill and care to a standard expected of an organisation experienced in the delivery of Services of this kind;
提供服务的技能和注意程度将达到富有经验的同类服务提供者应有标准。
b) you will comply with any of our applicable policies and procedures as they relate to the performance of the Services;
贵方将遵守我方与履行该服务相关的政策和程序。
c) you will procure and maintain all licenses, permits and authorisations necessary for you to supply the Services; and
贵方将获得并维持提供服务所必需的所有许可和授权。并且
d) in supplying the Services, you will comply with, and not do anything which would cause us to contravene, any applicable laws.
贵方在提供服务时将遵守所有适用的法律，且不实施任何可能导致我方违反适用法律的行为。
1.3 You indemnify us, and will keep us indemnified, in respect of all losses, costs, expenses and damage of any nature (including consequential loss) arising directly or indirectly as a result of any breach by you of these Conditions, and any claims by third parties for compensation for personal injury or loss or damage to property as a result of your act or omission. This clause applies notwithstanding anything in your trading terms which might otherwise exclude or limit such liability.
贵方将赔偿因违反本条件所直接或间接导致的我方任何性质的损失、成本、费用和损害（包括间接损失），以及任何第三方提出的因贵方行为或不行为所导致的人身损害或者财产损害和损失的索赔。即使贵方的通常贸易条款中有对此类责任的排除或限制，本条款仍将适用。
1.4 In connection with the provision of goods and services by you to us under these Conditions, you must:
在向我方提供商品和服务时，贵方必须：
a) act in an ethical and socially responsible manner and adopt behaviours that are reasonably expected of companies of a similar size and nature to you;
行为符合道德规范和社会责任标准，达到与贵方相同规模和性质的公司所应达到的通常标准。
b) ensure that all statements made by you to us, including notices, reports and other communications, accurately reflect the actual activities and transactions between us; and
确保贵方向我方提供的所有声明，包括通知、报告及其他通讯，准确反映双方之间的活动和交易。
c) to the extent you have not already done so, become a signatory to and adhere to the principles of the United Nations Global Compact.
签署并遵循《联合国全球契约》所倡导的原则，如果贵方尚未如此做的话。
2. WARRANTY PERIOD 保证期间
2.1 In addition to our rights under clause 1, you warrant that the Goods will be free from any defects, deficiencies or other faults in their design, workmanship, material and satisfactory mechanical and electrical functioning, from the date of acceptance by us for a period of eighteen months (or such other period we agree in writing) (Warranty Period).
除了我方在第1条项下的权利外，贵方保证从我方接受商品之日起18个月内（或其他我方书面同意的期间）（“保证期间”），所提供商品将无设计、工艺、材料以及机电性能方面的任何瑕疵、不足或其他缺陷。
2.2 You will repair any defects, deficiencies or other faults in the Goods which become apparent during the Warranty Period or promptly replace the Goods, if necessary, at no cost to us.
贵方将修复在保证期间内发现的任何瑕疵、不足或其他缺陷，或者，如必要，迅速更换商品，且无需我方承担费用。
2.3 A fresh warranty for the same period commences in relation to any item repaired or replaced from the date of repair or replacement.
修复或更换的部件，其保证期间自修复或更换之日起重新计算。
3. PRICE AND PAYMENT 价款与支付
3.1 We will pay you the price specified in our purchase order (Price). Except to the extent expressly provided in our purchase order:
我方将向贵方支付订单中载明的价款（“价款”）。除非订单中明确规定：
a) we will pay no charges for packing or carriage of the Goods, expenses, duties, other taxes or imposts or any of your other costs; and
我方将不支付任何包装或运输商品发生的开支、费用、关税、其他税金或贵方的任何成本；并且
b) you will not be entitled to adjust the Price due to fluctuations in exchange rates, material costs, taxes, duties or labour costs.
贵方无权因汇率、原材料价格、税率、关税或劳动力成本方面的波动而调整价款。
3.2 Unless otherwise specified in our purchase order, you may invoice us after completing delivery of the Goods and Services, and we will pay your invoice within 62 days of the end of the month in which it is received. We may pay you by cheque, credit card, electronic funds transfer or cash.
除非订单中另有规定，贵方可在提供商品和服务之后向我方开具发票，我方将在收到发票之月份结束后62日之内支付发票金额。我方可以支票、信用卡、电子转账或现金方式支付。
4. RIGHT OF REJECTION 拒收商品的权利
4.1 We may reject any of the Goods if you fail to comply with these Conditions, or they do not meet our specifications. Upon any such rejection:
如果贵方未能遵守本条件，或者商品不符合我方规格，我方可拒收商品。在拒收时：
a) we will notify you of the rejection in writing and you must (at your cost) collect the rejected Goods;
我方将书面通知贵方拒收，贵方须自担费用收回被拒收商品。
b) we have no obligation to pay for the rejected Goods; and
我方无须支付被拒收商品的价款。并且：
c) you remain liable under clause 1.3 for any cost, loss, damage or liability suffered in relation to the rejected Goods or our rejection of them.
贵方仍将承担第1.3条项下责任，即对因被拒收商品或我方的拒收行为所引起的任何损失、损害或对第三方责任承担赔偿之责。
4.2 Our payment for Goods, signing of a delivery docket or other acknowledgment of delivery does not prejudice our right of rejection.
我方为商品付款、签署交货单或做出其他确认交付的行为，均不影响我方拒收商品的权利。
5. DELIVERY 交付
5.1 The Goods and Services must be delivered at the time and place specified in our purchase order or as otherwise specified by us in writing.
商品和服务必须在订单中指明或我方以其他书面方式规定的时间和地点交付。
5.2 We have no obligation to accept or pay for Goods or Services not delivered in accordance with clause 5.1 unless:
我方无义务为未按第5.1条规定交付的商品或服务付款，除非：
a) the failure was caused by circumstances beyond your control; or
未按规定交付系由贵方无法控制的情形所导致；或者
b) we consent in writing to a change to the time or place of delivery.
我方书面同意变更交付时间或地点。
5.3 You must advise us immediately in writing if:
贵方须立即书面通知我方，如果：
a) delivery is unlikely to take place on the due date; or
可能无法在规定日期交付；或者
b) there is a partial loss of, damage to, or defects in any delivery of Goods or Services;
交付的商品或服务有部分灭失、损害或瑕疵.
and you must take all necessary steps to avoid or minimise any delay and must immediately replace any lost or damaged Goods or rectify any defect in the Services at your cost, if we so require.
贵方必须采取一切必要措施避免或减少延误，并且，如我方要求，立即自担费用更换灭失或损坏的商品，或者纠正服务的瑕疵。
6. PASSING OF TITLE AND RISK 所有权和风险的转移
6.1 Title to the Goods passes to us on delivery.
商品的所有权在交付时转移给我方。
6.2 The Goods remain at your risk until they have passed our inspection and performance tests and have been accepted by us in writing.
商品的风险在我方检验和性能测试完毕并书面接受之前由贵方承担。
6.3 All tools, dies, patterns, jigs, equipment and drawings created or used in the performance of the Services or manufacture of the Goods and which are paid for by us are our property and must not be used without our authority.
所有在履行服务或制造商品过程中产生或使用且由我方付费的工具、模具、模型、夹具、设备和图纸等均属我方财产，未经我方授权不得使用。
7. INTELLECTUAL PROPERTY 知识产权
7.1 You warrant that the Goods and any materials supplied to us in the performance of the Services do not infringe any patent, trademark, registered design, name, copyright or other protected right (“Intellectual Property”) and that we will be free to use them without infringing any such Intellectual Property.
贵方保证商品以及提供服务过程中向我方提供的任何材料不侵犯任何专利权、商标权、注册设计权、商号权、版权或其他任何受保护的权利（“知识产权”），我方可自由使用而不会侵犯任何知识产权。
7.2 To the extent that use of the Goods requires a licence of rights in Intellectual Property belonging to a third party you must procure for us a perpetual, royalty-free, transferable licence to use that Intellectual Property in respect of our use of the Goods.
如果使用商品需要获得第三方对知识产权的许可，贵方须为我方获取使用商品所涉知识产权的永久的、免费的且可转让的许可。
7.3 You agree that we will own all Intellectual Property arising as a result of the provision of the Services and you assign to us all rights and title to such Intellectual Property. You must procure all necessary arrangements with your personnel to give effect to this clause.
贵方同意，我方将拥有提供服务过程中产生的所有知识产权，贵方将对此类知识产权的所有权益皆让与我方。贵方须与贵方人员采取所有必要的安排，以落实本条款。
8. INSURANCE 保险
You must have, and must ensure that any sub-contractors have, adequate insurances in amounts reasonably acceptable to us such that we may reasonably expect you to be able to speedily recover and resume supply to us in the event of accidents such as fire, flooding, explosion. We may require evidence of that insurance at any time.
贵方应当购买，且促使贵方分包商购买必要的保险，且保险金额应合理地为我方接受，足以使我方可合理期望在万一遭受火灾、洪水、爆炸等事故时贵方可迅速恢复生产以及向我方的供应。我方可能不时要求贵方提供此类保险证据。
9. TERMINATION 解除
9.1 We may, without penalty and without prejudice to any of our other rights, cancel our purchase order immediately by written notice if you:
如果贵方发生以下情形，我方可以立即以书面通知取消订单，且不承担责任，也无损我方其他权利：
a) breach these Conditions and fail to remedy the breach within 14 days of our notice of the breach to you;
贵方违反本条件，且在我方告知之后14天内未能纠正。
b) become bankrupt or insolvent, unable to pay your debts as they fall due or enter into or become subject to any form of insolvency administration;
贵方破产或者资不抵债，无法支付到期债务，或者进入任何形式的破产管理程序。
c) do anything which in our reasonable opinion has the potential to prejudice our reputation; or
贵方进行任何在我方合理看来可能损害我方声誉的行为。
d) notify us of an anticipated delay in the delivery of Goods or Services and we consider the delay will significantly affect our business.
贵方就交付商品或服务可能发生的延误通知我方之后，我方认为该延误将严重影响我方业务。
9.2 We may cancel our purchase order in respect of Services at any time on seven days’ notice, provided that we will pay you for any Services performed prior to termination or a portion of the Price reasonably attributable to Services performed prior to termination.
我方可以提前7天通知取消任何有关服务的订单，但我方将支付取消前已提供服务的对应价款。
9.3 Termination will not affect any rights accrued prior to termination.
取消订单不影响取消之前已经产生的任何权利。
10. ANTI-SLAVERY 反奴役
10.1 You must at all times:
贵方应始终：
a) comply (and ensure your directors, officers, employees, agents, representatives, contractors and suppliers comply) with all relevant anti-slavery Laws, and ensure that no forced labour, slavery, servitude or similar practices are in any way involved in supply of the Goods;
遵守（且保证贵方董事、管理人员、雇员、代理人、代表、承包商和供应商也遵守）所有相关的反奴役法律，且保证在供应商品过程中不以任何形式涉及强制劳役、奴役、苦役或类似行为。
b) maintain appropriate policies and procedures designed to ensure your compliance with Anti-slavery Laws; and
实施适当的政策和程序以保证对反奴役法律的合规。
10.2 For the purposes of this clause 10, Anti-slavery Laws means all laws and regulations of the countries in which you conduct business which prohibit the use of slavery, servitude, forced labour, human trafficking or other similar practices.
在本条中，反奴役法律指贵方开展业务的国家禁止使用奴役、苦役、强制劳役、人口贩卖和其他类似行为的所有法律法规。
10.3 Without limitation to our other rights and remedies, breach of this clause 10 will entitle us to immediately terminate any agreement we have with you and cancel any purchase orders already placed.
无损于我方其他权利和救济，贵方如违反本条规定，我方有权立即解除我方与贵方的任何协议，并取消已经发出的订单。
11. GENERAL 一般事项
11.1 Defined expressions bear their defined meaning wherever used in these Conditions, unless the context requires otherwise.
本条件中被定义的术语含义如其定义，除非上下文要求别的含义。
11.2 If a party comprises two or more persons, these Conditions apply to those persons jointly and each of them individually.
如一方有两个以上的人，本条件对该方所有人共同并分别适用。
11.3 If any part of these Conditions is illegal or unenforceable, it will be severed from these Conditions and the remaining terms and conditions will continue in full force and effect.
如本条件中的任一部分为非法或者不可执行，该部分将从本条件中剥离，剩余部分仍将完全有效。
11.4 We may set-off any amounts owed by us to you against amounts owed by you to us on any account whatsoever.
我方可以将我方对贵方的欠款与贵方对我方的欠款抵销，而无论欠款的名目如何。
11.5 Should any significant change in law or regulation (including the introduction of any form of emission or carbon trading scheme or emissions or carbon tax) occur during the Term, you will not be entitled to increase the price payable by us without agreement in writing.
如在合同期限内发生任何法律法规的重大变化（包括任何有关排放、碳交易机制、碳排放税的法律的制定），贵方无权在未经我方书面同意的情况下增加我方应付价款金额。
11.6 Our confidential information may be used only for the supply of the Goods and/or Services and you must keep our confidential information secret.
我方的保密信息仅可用于提供商品和服务，贵方应对我方保密信息予以保密。
11.7 You may not sub-contract any of your obligations pursuant to these Conditions without our prior written consent. In the event that we grant such consent, you will be responsible for the acts and omissions of sub-contractors as if they were your acts and omissions.
如无我方事先书面同意，贵方不得将贵方在本条件项下的任何义务分包于他人。如我方同意贵方分包，贵方将对分包人的作为与不作为负责，如同其为贵方自身的作为与不作为一样。
11.8 These Conditions are governed by the laws of People’s Republic of China and you agree to submit any disputes arising under or in connection with these Conditions and any purchase order to the jurisdiction of the courts in the locality where the Company issuing the purchase order is located.
本条件受中华人民共和国法律约束。贵方同意，任何与本条件和任何订单项下或与之相关的争议将提交发出订单的我司所在地的法院管辖。
